Terms of Service

The agreement between you and Mercify when you create an account, buy a store or store credits, and receive a Shopify store built by us.

1. Who we are

Mercify.ai ("Mercify", "we") is a service of Cogenta B.V., St. Janstraat 11-A, 4811 ZK Breda, the Netherlands, registered with the Dutch Chamber of Commerce under number 42142544, VAT number NL869907438B01. You can reach us at hello@mercify.ai.

These Terms apply to every visit to mercify.ai, every account, every purchase of a store or store credits, and every store we build or deliver. By creating an account or placing an order you accept these Terms. Where a provision of these Terms would be invalid under mandatory consumer law in your country, that law prevails for that provision only.

2. What Mercify delivers

Mercify builds a complete Shopify store based on your intake: a product category (niche) and target market, an optional store name, style, colours and logo, and your business details. A store consists of:

  • a brand direction: store name (yours or one we propose), logo (yours or one we create), colours and typography;
  • a starting assortment of 50 products (expandable in steps of 50 up to 200), each with title, description, images and a suggested price, sourced from third-party suppliers;
  • the Shopify setup: homepage, collection and product pages, basic legal pages, navigation, theme settings and checkout configuration;
  • transfer of the store to your own Shopify account, after which you own and control it.

Before we build, you review and approve a proposal (name, style, assortment). The proposal and the delivered store are generated with the help of artificial intelligence and curated by our system; you check and approve them. Mercify is not a Shopify reseller: your Shopify subscription, payment provider, apps and domain are agreements between you and Shopify or those providers, under their own terms and prices.

3. Account and acceptable use

You need an account with a working e-mail address, which you must confirm before you can pay. Keep your login details confidential; everything that happens through your account counts as done by you. You must be at least 18 years old and may use Mercify only for your own business or for a business you are authorised to represent. Team members you invite act on behalf of your account.

You may not use Mercify to build stores for products or activities that are illegal, infringe third-party rights (including counterfeit goods), or are prohibited by Shopify's Acceptable Use Policy. We may suspend or close an account for abuse, non-payment, chargebacks or a reasonable suspicion of use contrary to these Terms or the law.

4. Prices and payment

Current prices are shown on mercify.ai and in your account. At the time of writing: one store with 50 products costs € 100, each additional 50 products costs € 25 (maximum 200 products per store), and one store credit costs € 100 and can be used for one store with 50 products. Prices are in euros. Where VAT applies, the final total including VAT is shown before you confirm payment, and you receive an invoice by e-mail.

You pay in advance, through our payment provider Mollie (iDEAL, cards, Bancontact and other methods shown at checkout). We never see or store your full card or bank details. We start preparing your store once Mollie has confirmed the payment. If a payment is reversed or charged back, the related store build is paused and any related credits are blocked until the matter is resolved.

Store credits are a prepaid balance in your account, usable for future stores; they are personal to your account and not transferable or exchangeable for cash except as described in our Refund & Cancellation Policy. Subscriptions are not yet available; if we introduce them, their price, period and credit allowance will be shown before you subscribe.

5. Delivery, approval and transfer

After payment we prepare a proposal, usually within an hour. You review it in your account and approve it or request changes within the limits shown in the app. After approval we build the store, typically within 30 minutes to a few hours; we communicate delays through your account or by e-mail. The store is delivered as a Shopify store that you claim or receive in your own Shopify account. From the moment of transfer you are the owner of the store and responsible for it, including your Shopify plan, legal pages, pricing, taxes, shipping and customer service.

Deadlines are indicative. We are not liable for delays caused by Shopify, suppliers, your own input or circumstances beyond our control, but we will always complete the delivery or, if that proves impossible, refund the payment for the undelivered store.

6. Products, suppliers and content

The products in your store are sourced from third-party suppliers (for example dropshipping platforms). Mercify selects products, writes texts and prepares images for your store, but does not sell, stock or ship these products and is not a party to any sale you make to your customers. Availability, purchase prices, shipping times and product compliance are determined by the supplier and may change. Before you start selling, you must check that the products, descriptions, claims and prices are suitable and lawful for your market, and set up your supplier connection and fulfilment.

Texts, images and brand assets we create for your store are licensed to you for use in and for that store and its marketing, without limitation in time, once the store has been paid for. Content you upload (such as your logo) must be yours to use; you indemnify us against third-party claims about your content. We do not guarantee that a generated store name or logo is free of third-party rights; trademark clearance is your responsibility.

7. Not satisfied?

If the delivered store does not match the approved proposal, tell us through Support within 14 days of delivery. We will correct it or, if correction is not reasonably possible, build a replacement store or refund the payment for that store. Changes of taste after approval, or changes you make yourself in Shopify, are not defects. Details and statutory rights are set out in the Refund & Cancellation Policy.

8. Liability

Mercify delivers a starting point for your business; commercial results depend on your products, pricing, marketing and operation and are not guaranteed. Our total liability for any claim connected with a store is limited to the amount you paid for that store, except in case of intent or gross negligence on our side or where the law does not allow this limitation. We are not liable for indirect damage such as lost profit, lost sales or data, or for the acts or omissions of Shopify, suppliers, payment providers or other third parties.

9. Privacy

How we handle personal data is described in our Privacy Policy. For the products and customers of your own store you are the controller; Mercify only processes such data on your behalf while building or supporting the store.

10. Changes, law and disputes

We may change these Terms; the version in force at the time of your order applies to that order, and we announce material changes in the app or by e-mail. Dutch law applies. Disputes are submitted to the competent court in Breda, the Netherlands, unless mandatory law gives you the right to another court. If you are a consumer in the EU, you may also use the European Online Dispute Resolution platform. We prefer to solve things directly: write to hello@mercify.ai first.
